Nebius has a real AI-cloud business, but NBIS has entered a phase where funding structure matters more than the next headline about GPUs. Our bear take is that the stock's growth premium is now being asked to absorb equity-like capital at a scale that can overwhelm operating momentum. The clearest signal is not a bearish analyst note; it is a 9.87% slide while eight recent headlines were bullish, followed by disclosure of 12.7 million Class A shares sold for roughly $2.8 billion to fund expansion. At $222.75 and a $53.46 billion market cap, NBIS is pricing in flawless execution while investors are being handed a dilution bill.

Shares are up 148.9% year to date versus 27.3% for the technology sector, proving that investors are willing to pay for the capacity roadmap. The counterpoint is legitimate: Nebius is raising capital because demand is strong, not because the AI-cloud product is obsolete. But that only changes the question from whether demand exists to whether the returns on that demand will accrue to today's shareholders after $5.0 billion of convertibles, prior share sales, debt, and enormous capex are layered into the structure. For NBIS at this valuation, financing terms and facility execution matter more than another bullish demand statistic.

The trigger that would change our mind is not another target increase or a batch of positive coverage. It is proof that Nebius can fund the next capacity wave with customer cash while reducing reliance on equity-like issuance and keeping execution on schedule. Until that appears, position size belongs below the level implied by the AI narrative. NBIS can keep outperforming the sector, but the stock's next move now has to clear a financing hurdle that its spectacular revenue growth does not remove.
