TEM's 13% stealth rally is ignoring the Personalis bill

TEM's 13% surge is running ahead of an unprofitable business and a $1.5 billion Personalis deal that adds scale before it adds clean earnings. Strong revenue growth is real, but dilution, cash needs, and insider selling make this rally one to fade rather than chase.

Tempus AI's rally has outrun its income statement. The Personalis acquisition expands the platform, but it also asks shareholders to fund a larger, more complicated business before Tempus has proven that growth converts into durable profits. With a $125.9 million Q1 net loss, a $400 million convertible-note issuance, and a stock-plus-cash deal structure, the market is paying for the destination while ignoring the bill to get there.

The valuation already assumes a cleaner business than Tempus currently operates. TEM trades at 6.45 times trailing sales despite a -19.8% operating margin, a -17.8% net margin, and a trailing net loss of $245.03 million; its P/E is negative at -36.89. The TickerSpark Score lands at 61, but the 40 Profitability sub-score and 45 Valuation sub-score expose the gap between the company's impressive growth profile and its weak earnings foundation. Doximity trades at a higher 7.82 times sales, but it pairs that multiple with a 25.5% net margin, a distinction Tempus has not earned yet.

Personalis makes that gap more consequential. Tempus agreed to pay about $1.5 billion net of its existing ownership, or $16.25 per share, using TEM stock and up to 50% cash at its discretion. That may create a broader molecular residual disease platform, but it brings dilution, financing pressure, and integration risk before the acquired asset can contribute clean profits. Tempus' $400 million convertible-note issuance adds another layer to a story already dependent on future operating leverage, while the Q1 loss shows the core business still has a long way to go.

The market's price action is not confirming a repaired earnings story either. Eight recent insider transactions were sells totaling 144,814 shares worth $6.18 million, with zero buys. Technically, the latest close of $51.99 remained below the 200-day moving average at $58.14, and the on-balance-volume trend showed distribution. A sharp move can attract traders, but it does not erase those signals or the stock's 23.3 percentage-point year-to-date underperformance versus healthcare.

The bullish case has real substance: revenue grew 83.4% year over year, and Tempus reported $348.1 million of Q1 revenue while raising full-year 2026 guidance to $1.59 billion-$1.60 billion with approximately $65 million of adjusted EBITDA. The company also beat earnings estimates in seven of the last eight reported quarters, and consensus remains Buy with eight buy ratings and five holds. Bulls can reasonably argue that Tempus' connections to roughly 65% of U.S. academic medical centers and 55% of U.S. oncologists give Personalis a powerful distribution engine.

That is a strong platform argument, not a near-term profit argument. Full-year 2025 adjusted EBITDA was still negative $7.4 million, and Q1 adjusted EBITDA was negative $2.8 million. The acquisition may eventually make the economics better, but the rally is discounting that outcome before management has demonstrated sustained positive earnings. Strategic scale is valuable only when it improves returns on capital; for now, Tempus is adding obligations faster than it is adding profits.

We would not chase TEM after the surge. The level to respect is the 200-day moving average at $58.14: reclaiming it would repair part of the damaged trend, but it would not by itself solve the valuation or financing problem. The real trigger for changing this bearish view is sustained positive adjusted EBITDA alongside disciplined Personalis integration, not another revenue-guidance increase.

Until that proof arrives, position sizing belongs in the risk bucket, not the core portfolio. The 13% rally is a trading signal, while the -17.8% net margin and $6.18 million of recent insider selling are investment signals. The economics still win this argument, and they say the Personalis bill has not been paid yet.
